“Services” encompass all offerings provided by Dialflow, including data entry, telecalling, feedback coordination, and HR executive tasks.
2.1 Scope of Services:
Dialflow provides professional Business Process Outsourcing (BPO) services as agreed upon in the service contract or agreement.
2.2 Customization:
Services are tailored to meet the specific needs of the client, as documented in the service agreement.
2.3 Service Availability:
While we strive for uninterrupted delivery, occasional downtimes for maintenance or unforeseen circumstances may occur. Dialflow will communicate any planned disruptions in advance where possible.
3.1 Provision of Information:
Clients must provide accurate, complete, and timely information required for the successful delivery of services.
3.2 Compliance with Laws:
Clients are responsible for ensuring their use of our services complies with applicable laws and regulations.
3.3 Confidentiality:
Clients agree to keep all proprietary information, documents, and methods shared by Dialflow confidential and secure.
4.1 Fees and Charges:
All fees for services are outlined in the service agreement and are subject to applicable taxes.
4.2 Payment Schedule:
Payments are to be made according to the agreed-upon schedule. Late payments may incur penalties as specified in the agreement.
4.3 Refunds:
Refunds are considered on a case-by-case basis, subject to the terms in the service agreement.
5.1 Client Data:
Dialflow is committed to protecting the confidentiality of client data and adheres to strict data security measures.
5.2 Non-Disclosure:
Both parties agree not to disclose confidential information to third parties without prior written consent.
5.3 Data Usage:
Client data is used solely for the purpose of delivering the agreed-upon services.
6.1 Ownership:
All deliverables created as part of the services remain the property of the client upon full payment, unless otherwise specified.
6.2 Use of Dialflow Materials:
Clients may not reproduce, distribute, or use any proprietary content or methods of Dialflow without prior written consent.
Dialflow is not liable for:
Any indirect, incidental, or consequential damages arising from the use of our services.
Delays or failures caused by events beyond our reasonable control, such as natural disasters, strikes, or technical failures.
8.1 By the Client:
Clients may terminate the service agreement with a written notice, subject to the terms outlined in the agreement.
8.2 By Dialflow:
Dialflow reserves the right to terminate services in cases of non-payment, breach of agreement, or misuse of services.
8.3 Consequences of Termination:
Upon termination, all outstanding payments must be settled, and any confidential materials returned.
These Terms & Conditions are governed by and construed in accordance with the laws of India. Disputes are subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh.
Dialflow reserves the right to update these Terms & Conditions as necessary. Clients will be notified of significant changes, and the updated terms will be made available on our website.
